Joint Venture’s Goal is to Publish Titles This Fall, Marketing the Next Generation Video Games for Young Children

TORONTO (April 21, 1998) — SoftQuad International Inc.’s (NASDAQ:SWEBF; TSE:SKI) Alpha Software Corporation announced today that it has entered into a letter of intent to form a joint venture with NewKidCo LLC (“NewKidCo”), a children’s video game company developing software titles for young children on “next generation” console systems.

NewKidCo will transfer its assets and business to the joint venture. In exchange for a cash payment, SoftQuad’s subsidiary, Alpha Software Corporation, will own a majority interest in the joint venture and beginning in June 1999 will have an option to acquire, or under certain circumstances be required by NewKidCo to acquire, NewKidCo’s interest in the joint venture for $1,500,000 (U.S.) in cash or 1,000,000 shares of SoftQuad stock, warrants to acquire up to 4,000,000 shares of SoftQuad stock at varying prices in excess of the current market price of SoftQuad stock and cash payments based upon the joint venture’s profits three years from closing. Completion of the transaction is subject to execution of definitive agreements, approval by both companies Board of Directors, regulatory approvals, receipt of certain third party consents and customary closing conditions.

NewKidCo, a New York-based startup company, headed by Henry A. Kaplan and Jonathan D. Harber, holds the license from the Children’s Television Workshop to manufacture, sell and distribute for the children’s game console category two Sesame Street titles – “Elmo’s Magical Number Tour” and “Elmo’s Magical Letter Tour” – in the United States and Canada, the United Kingdom and certain other countries. NewKidCo also holds a license from Sony to develop the titles on the PlayStation® console. These titles are currently being developed for NewKidCo by an outside development group, with the goal of introducing the titles into the retail channel in October.

The joint venture intends to develop and market a series of software products based on popular children’s characters. The joint venture products will be published and marketed through a network of retail outlets, including toy superstores, mass merchandisers, computer specialty retailers and other retail outlets.

For Alpha, the joint venture with NewKidCo is a key element in the company’s strategy to expand into the high-growth entertainment and edutainment segments.

The joint venture will seek to improve the way children learn and play through interactive media by bringing high quality software products to young children worldwide. “Great games, brands and distribution are keys to the video game business, and our strong personal relationships with major retailers, together with Alpha’s resources, are an invaluable advantage,” said NewKidCo’s Kaplan. “This partnership brings together top talent from the worlds of education, multimedia and game software, along with key licensors, software developers, distributors and retailers. NewKidCo Enters Into Letter of Intent with Alpha Software Corporation to From Joint Venture to Publish Two ‘Elmo’ Titles and Other Children’s Video Games

New York, NY (April 21, 1998) — A newly formed joint venture between NewKidCo LLC and Alpha Software Corporation, a subsidiary of SoftQuad International Inc. (NASDAQ:SWEBF; TSE:SKI) announces two new titles for the PlayStation® game console based on the popular Sesame Street® characters. The games “Elmo’s Magical Number Tour” and “Elmo’s Magical Letter Tour”, are scheduled to ship in early October. The joint venture’s goal is to develop and market a series of children’s video games. Finalization of the joint venture is subject to the execution of definitive agreements and other conditions.

NewKidCo LLC was recently formed by Henry A. Kaplan and Jonathan D. Harber to develop and publish video games and interactive toys for children 2 to 6 years old. Both Hank and Jonathan are veterans of the interactive entertainment business; Mr. Kaplan was most recently President of Philips. Harber was President of Kinderactive and Diva Corporation.

The Sesame Street® video games will be designed to help young children master number and letter recognition. They will play like traditional video games, yet utilize simple controls and challenges for young children who are just developing eye-hand coordination. Children move the popular Elmo character through a variety of fantastical 3D worlds, each hosted by one of the child’s favorite Sesame Street characters including Big Bird, The Count, Ernie, Grover and Cookie Monster. Children travel through 3D environments filled with numbers and letters. Each game will have multiple “worlds”, and each world has diverse game areas and bonus levels. As the child progresses, the difficulty level increases, keeping the child engaged and motivated while learning through play. NewKidCo and Children’s Television Workshop’s (CTW) Interactive Software Group are jointly overseeing design.

The games will take full advantage of PlayStation’s® technology, with the Sesame Street® characters polygon rendered and environments that are fully 3D navigable. The game will also incorporate rich stereo sound and classic music from the series. Mr. Kaplan points out that all dialog in the game will be specially recorded using the voice talent from the show.

New York, NY (April 27, 1998) — Alpha Software Corporation, a subsidiary of SoftQuad International Inc. (NASDAQ:SWEBF ; TSE:SKI), and NewKidCo stated today, as follow up to their announcement made last week regarding their joint venture, that they are in discussions with several major licensors to develop and market video game software for young children.

Alpha and NewKidCo believe that they will be able to announce new video games at or before the Electronic Entertainment Expo (E3) to be held in Atlanta at the end of May.

According to Hank Kaplan, President and CEO of NewKidCo, “Our objective is to become the leading producer of video games for young children. Accordingly, we are currently in discussions to publish additional video games for our target audience. If we are successful, these games will be based on licenses of well known characters and will be available for a wide variety of console platforms.”

Buster & The Beanstalk PlayStation Game Offers Fast-Paced Family Fun

Atlanta, GA (May 29, 1998) — NewKidCo, LLC, a New York-based kids video game publisher, majority-owned by Alpha Software, a subsidiary of SoftQuad International Inc., (NASDAQ:SWEBF; TSE:SKI), announced today at E3 Expo Buster & The Beanstalk™, a new PlayStation® game for kids and families featuring characters from the award-winning TINY TOON Adventures® cartoon series.

The television series is one of the highest rated children’s shows on Nickelodeon. The Buster & The Beanstalk™ game will feature characters Buster Bunny, Plucky Duck, Babs and Elmyra in a whimsical scavenger hunt, spun from the classic Jack and The Beanstalk tale. This wacky quest takes kids on an exciting adventure to find three magical keys that open the giant’s great castle doors. Going up the beanstalk is no easy feat, however, as the obnoxious Elmyra tries to send Buster and friends tumbling down before they can save the Magical Flying Harp and capture the Bag of Gold.

SOFTQUAD INTERNATIONAL FINALIZES NEWKIDCO JOINT VENTURE; EXPECTED TO MAKE STRONG CONTRIBUTION TO Q4 RESULTS

In Line with Company’s New Strategic Focus on Family Software and Children’s Video Games, SoftQuad International Explores Sale or Spin-off or Web Tools Subsidiary.

Burlington, MA (June 10, 1998) — SoftQuad International Inc. (NASDAQ:SWEBF; TSE:SKI), announced today that it has finalized its joint venture with NewKidCo Holdings, LLC to create NewKidCo, LLC (“NewKidCo”). NewKidCo publishes children’s video games for “next generation” console systems. The companies announced a letter of intent to form the joint venture on April 21.

SoftQuad International Inc. owns 75% of NewKidCo and has an option to purchase, and under certain circumstances may be required to purchase, the remaining interest in NewKidCo. NewKidCo’s first three titles are slated for shipment in the fourth quarter and are expected to be broadly distributed to toy superstores, mass merchandisers, computer specialty retailers and other retail outlets nationwide. NewKidCo management expects NewKidCo’s revenues to be in the range of $9 million (U.S.) in the fourth quarter with strong earnings contribution, based upon preliminary reactions from major retailers and the performance of other popular titles in the market.

In line with its new focus on family software and kids video games, SoftQuad International also announced today that it intends to retain an investment banker to explore the possible sale or spin-off of SoftQuad Inc., its structured document and Web tools subsidiary. SoftQuad International has been in discussions with a number of companies that have expressed interest in SoftQuad Inc., particularly in its extensive expertise in the emerging XML (extensible markup language) field. The company is actively developing next generation XML based authoring and processing tools to complement its award-winning HoTMetaL and Panorama SGML product families.

In making today’s announcements, Richard Rabins, CEO, SoftQuad International Inc. cited the company’s strategic focus on high-growth family software and children’s video game segments. “Moving forward, we are enthusiastic about the opportunity to build shareholder value by achieving our objective of leadership in children’s video games through NewKidCo and by capitalizing on Alpha Software’s established position in the lifestyle, entertainment, flight simulation and utility categories for the PC platform.”

The console video game business in the U.S. (defined as PlayStation®, Nintendo®, and Sega®) has now reached nearly $6 billion (U.S.) in annual revenues. Industry analysts estimate that by the end of the year, there will be nearly 18 million PlayStation® units in U.S. homes. Popular PlayStation® titles have sold well over 200,000 units at retail price points of $39 (U.S.) or greater.

At the E3 show (Electronic Entertainment Expo) at the end of May, NewKidCo introduced and demonstrated its fall product line up. NewKidCo will publish two Sesame Street® Titles for PlayStation® — Elmo’s Magical Number Tour™ and Elmo’s Magical Letter Tour™. NewKidCo also announced and displayed its third PlayStation® title – Buster and The Beanstalk™, based on Warner Bros.’ popular TINY TOONS Adventures® television show.

The Sesame Street television show is 30 years old this year and stronger than ever with more than 12 million viewers per week. 94% of parents with 1 1/2 – 5 years olds report that their child watches Sesame Street. TINY TOONS Adventures™, a Steven Speilberg production, skews to a slightly older audience of 5 to 9 year olds and is one of the top 3 shows on Nickelodeon®. TINY TOONS® is viewed by 6 million children every week.

NewKidCo will seek to develop and market young children’s video games by bringing high quality products to children worldwide. “Since announcing our fall product line up, we’ve been gratified by the reception we’ve received,” said NewKidCo’s President, Hank Kaplan. “More than ever, the time is right for high-quality titles for young children on next generation, affordable platforms.”

Joint Venture Transaction Details Under the transaction, NewKidCo Holdings LLC has transferred its assets and business to the joint venture. In exchange for a $500,000 (U.S.) cash payment, SoftQuad International’s subsidiary, Alpha Software Corporation, now owns a 75% interest in the joint venture and beginning in June 1999 will have an option to acquire, or under certain circumstances be required by NewKidCo Holdings LLC to acquire, NewKidCo Holdings LLC’s 25% interest in the joint venture for 975,000 shares of SoftQuad International stock and cash payments based upon the joint venture’s profits for the first three years from its formation. If prior to Alpha’s acquisition of NewKidCo Holdings LLC interest, the joint venture has achieved specified revenue and profit goals, NewKidCo Holdings LLC will also receive warrants to acquire up to 4,000,000 shares of SoftQuad International stock at prices ranging from $1.50 (U.S.) to $4.00 (U.S.) and may elect to receive, in lieu of the 975,000 shares of SoftQuad International stock, a cash payment of $1,462,500 (U.S.).

Designed for easy use by young children just developing eye-hand coordination, Elmo’s 123s provides valuable and fun activities such as “Beam That Number” and “Sum Up, Sum Down” that enhance number recognition and help children comprehend simple addition and subtraction concepts. Hosting the title from his Flying Saucer, Elmo is accompanied by tiny spacemen called Stars that children must count, add or subtract. To provide children with a sense of accomplishment, players are rewarded for successfully completing each activity through a special on-screen demonstration — such as Elmo blasting off in his spaceship. A variety of skill and difficulty levels promotes replayability for hours of portable edutainment.

Elmo’s ABCs
Children will delight with the opportunity to utilize their new knowledge of the alphabet to identify upper and lower case letters and spell simple words. Similar to Elmo’s 123s, controls are easy-to-use for young children and many levels of play are available for long-time enjoyment. (TSE:NKC; OTC BB: NKCIF), announces that it will ship Nintendo 64 (N64) versions of Elmo’s Letter Adventure and Elmo’s Number Journey in time for the holiday season. Based on the popular children’s property, Sesame Street produced by Children’s Television Workshop (CTW), these titles help younger children (ages 3-6) with basic number and letter recognition skills with the help of some familiar Muppet faces. Children will play in exciting 3-D environments with their favorite characters including Elmo, Cookie Monster, The Count, Ernie, Grover and Big Bird. Enhancements for the N64 platform include smoother graphics and an increased range of movement for Elmo, including the ability to jump. Elmo’s Letter Adventure and Elmo’s Number Journey for the N64 will be available during fourth quarter 1999.

Designed for children ages 3-6, the game is based on the highly anticipated live action feature film “The Adventures of Elmo in Grouchland.” The movie, presented by Jim Henson Pictures, is a CTW Production and a Columbia Pictures release. The game, like the film, follows Elmo through Oscar’s trashcan into the fantastic world of Grouchland on an interactive journey to recover his beloved blanket. The Adventures of Elmo In Grouchland is slated for release on both platforms for fall 1999, coinciding with the Columbia Pictures October release to theaters.

In The Adventures of Elmo In Grouchland PlayStation and Game Boy Color titles, children maneuver Elmo down Sesame Street and through Oscar’s trashcan. To find Elmo’s blanket, players travel through amazing environments such as Main Street Grouchland and Huxley’s Castle. Engaging activities including skating on soap bars in the Bucket Brigade, and bouncing on springs through the Shape Maze await children throughout the game. Along their journey, in the PlayStation title, players are joined by friendly and familiar faces from Sesame Street including Zoe, Oscar, and Cookie Monster, who come along to provide guidance and encouragement. Gameplay is provided in both “easy” and “hard” skill levels. Upon completion of the final level, Elmo recovers his blanket and learns a valuable lesson in sharing.

THE ADVENTURES OF ELMO IN GROUCHLAND – ABOUT THE FILM
Elmo loves his fuzzy, well-worn blue blanket better than anything in the whole world. In fact, they are inseparable…a perfect team. Elmo would never let anything happen to it – until a tug-of-war with his friend Zoe sends his beloved blanket into a faraway land with Elmo in hot pursuit. Facing life without his cherished blanket, Elmo summons all of his courage and determination and sets off on an action-packed rescue mission that plunges him into Grouchland – a place full of grouchy creatures, stinky garbage, the villainous Huxley (Mandy Patinkin) and the Queen of Trash (Vanessa Williams). Elmo also learns an important lesson about the value of. “The Adventures of Elmo In Grouchland” is coming to theatres this October. (TSE: NKC; OTC BB: NKCIF), one of the leading children’s video game developers, has announced the shipment of three new games – Elmo’s Number Journey and Elmo’s Letter Adventure for Nintendo 64, the first Sesame Street games available for the platform, and The Adventures of Elmo in Grouchland for Game Boy Color. Inspired by Sesame Street, the Children Television Workshop (CTW) program that has been enchanting children for more than 30 years, the games offer preschoolers, ages 3-6, the opportunity to interact and learn from Elmo and all of their beloved Sesame Street friends. All three games are available now wherever video games are sold.

NewKidCo’s Sesame Street line up for N64, PlayStation and Game Boy Color will be supported by a national television campaign targeting women ages 25-34. From mid-November through mid-December, 15 and 30 second spots will air during high profile network and cable programming including Good Morning America, Rosie O’Donnell, The View, The Today Show and The Tonight Show; leading primetime programs Access Hollywood and Extra; various programs on Nick at Night; and syndicated broadcasts of Mad About You and The Nanny.
Full-page print advertisements in two magazines targeting parents: Sesame Street Parents and Parent and Child Magazine. Each magazine boasts a circulation of more than one million targeted readers.
Top 20 radio stations and cable television networks nationwide will be running promotional giveaways, as well as on and web sites targeting women for all of NewKidCo’s new, and previously released, Sesame Street games across all platforms.
NewKidCo has teamed up with Sony Wonder and Mattel/Tyco to cross-promote the Sesame Street console game titles. A money-saving coupon will be packaged with Sony Wonder’s “Elmo In Grouchland” movie soundtrack and “Elmo In Grouchland” Sing Along home video and in Sesame Street brand Tyco preschool toys. The coupon enables consumers to save $3.00 on the purchase of any of NewKidCo Sesame Street title or $10.00 off any two games through a mail-in rebate offer. The special rebate runs through October 2000.

Marketing Campaign

Game Overview
Disney’s highly acclaimed hit film is based on the Chinese legend chronicling the adventures of a young woman determined to spare her father’s life by taking his place in the Chinese Army. The game begins when Mushu, startled by Cri-Kee, drops the scrolls containing the legend of Mulan, causing them to lose their magic. Disney’s Story Studio, Mulan allows girls either to play the game as Mulan on her quest to recover the missing scrolls, which requires imagination and creativity in order to master a series of engaging activities, or simply to play any one of five full games or mini-activities within the title. Through the deal, NewKidCo has obtained the rights to create age-appropriate interactive adventures for the PlayStation game console, Nintendo 64 and Game Boy Color starring the engaging cast of characters from Dragon Land. The first Dragon Tales video game adventures are expected to be released in the fall of 2000.

Dragon Tales is among the top-rated Monday through Friday children’s shows on PBS, and is co-produced by Children’s Television Workshop, creators of the Sesame Street series, and Columbia TriStar Television Group/Sony Pictures Family Entertainment. Dragon Tales has captivated kids everywhere through its beautifully animated and fun-filled fantasy adventures and host of characters. These enchanting qualities will be captured by the new video games — creating the ultimate play date for youngsters to join in magical Dragon Land adventures.

In accordance with Canadian GAAP, for the three months ended June 30, 2000, the net loss from continuing operations was $ 6,781,000 or US$.34 per share on revenues of $ 1,773,000. For the second quarter of 1999, the net loss from continuing operations was $ 562,000 on revenues of $ 1,076,000. In accordance with U.S. GAAP, for the three months ended June 30, 2000, the net loss from continuing operations was $ 6,692,000 or US$.33 per share on revenues of $ 1,773,000. For the second quarter of 1999, the net loss from continuing operations was $ 1,365,000 on revenues of $ 1,053,000.

In accordance with Canadian GAAP, for the six months ended June 30, 2000, the net loss from continuing operations was $ 10,580,000 or US$.53 per share on revenues of $ 3,667,000. For the six months ended June 30, 1999, the net income from continuing operations was $ 732,000 on revenues of $ 8,394,000. In accordance with U.S. GAAP, for the six months ended June 30, 2000, the net loss from operations was $ 10,405,000 or US$.52 per share on revenues of $ 3,667,000. For the six months ended June 30, 1999 the net loss from continuing operations was $ 412,000 on revenues of $ 7,806,000.

NEWKIDCO ANNOUNCES PROFITABLE THIRD QUARTER 2000

BURLINGTON, MA (November 27, 2000) – NewKidCo International Inc. (OTC BB: NKCIF; TSE: NKC), a leading publisher of video games for young children based on popular licensed characters, today announced strong quarterly revenue growth, both year-over-year and sequentially, as well as net income (U.S. GAAP), of 14% of revenues, reported Chief Executive Officer, Henry Kaplan. Revenues grew 252% over the third quarter 1999, from US $1.8 million to US $6.4 million, and sequential growth from the second quarter of 2000 also saw revenues increase from US $1.8 million to US $6.4 million. Net income (US GAAP) jumped to US$0.9 million, or $.04 per share, versus nil for the three months ended September 30, 1999.

“We believe this represents a significant period for NewKidCo”, stated Henry Kaplan. “Based on our continued confidence in our operating performance, we expect increases in revenues and profitability for the fourth quarter in excess of those experienced in both the previous quarter and in the seasonally more comparable fourth quarter of fiscal 1999. While the company has achieved profitable operations, we continue to seek additional debt and equity financing to fulfill our capital needs. Such financing remains necessary for the company and will allow us to capitalize on the tremendous opportunities that are available to us with our expansive portfolio of popular children’s characters. The company has not met a number of our advance payments with our licensors. We have, however, reached verbal understandings with our licensors for revised payment schedules, which coincide more closely with the company’s anticipated product launch schedule and which we anticipate being able to meet”.

Third Quarter Financial Highlights (Canadian GAAP)

Revenue increased to US$6.4 million from US$1.9 million for the three months ended September 30, 1999, up 242% over the prior period.
Net income was US$0.8 million, or $.04 per share, versus net income of nil for the three months ended September 30,1999 (a loss of US$0.5 million or US$.04 per share was from continuing operations).
Gross margins were 52%, up from 36% in the third quarter of 1999.
The implementation of NewKidCo’s International distribution deal with Ubi Soft Entertainment S. A. has resulted in the Company’s first-ever non North American royalties.
Third Quarter Financial Highlights (US GAAP)

Revenue increased to US$6.4 million from US$1.8 million for the three months ended September 30, 1999, up 252% over the prior period.
Net income was US$0.9 million, or $.04 per share, versus net income of nil for the three months ended September 30, 1999 (a loss of US$.04 million or US$.03 per share was from continuing operations).
The growth in revenue and margin, compared with last year, is a result of two main factors: NewKidCo’s successful transition to its own sales and distribution channels in North America, and the addition of its first royalties from the International distribution agreement with Ubi Soft Entertainment S. A. . Moreover, the continuing retail sales of Disney’s Winnie the Pooh: Adventures in the 100 Acre Wood for Game Boy Color, and the release of Tigger’s Honey Hunt for the PlayStation game console in late September also were major contributors. Tigger’s Honey Hunt for Nintendo 64 shipped late October. The rest of the companies new titles, including Tom & Jerry for PlayStation, Nintendo 64 and Game Boy Color have already or are expected to ship during the fourth quarter. Two titles based upon the new children’s breakaway hit television show, Dragon Tales, have already or are also planned to be released. In addition, a Game Boy Color title based on Disney’s popular character, Doug, is scheduled for release in the fourth quarter. Scheduled for the first quarter of 2001 is a PlayStation title based Disney’s classic character, Goofy.

The Company now has a substantial line-up of highly visible and globally popular, evergreen titles, which will continue to attract a growing number of young gamers. It believes that the introduction of new backward compatible formats such as PlayStation 2 and Game Boy Advance, will only increase the potential market for NewKidCo’s current children’s games while the demand for young children’s wholesome entertainment for PlayStation, Nintendo 64, and Game Boy Color will continue to be strong throughout 2001.

The Company is already in development on multiple titles for multiple platforms for launch in 2001, based on Steven Spielberg’s E.T. the Extra Terrestrial. E.T. is Universal Studios’ largest grossing film in their history and is scheduled for a 20th anniversary theatrical re-release in the Spring of 2002 that will include never-seen-before footage as well as state-of-the-art computer generated enhancements of the original Oscar winning visual effects. NEWKIDCO ANNOUNCES RECORD INCOME AND RECORD CASH GENERATED FROM OPERATIONS FOR FOURTH QUARTER 2000

Younger Audiences Generating Record Growth Rates

NEW YORK, NY (April 10, 2001) – NewKidCo International Inc. (OTC BB: NKCIF; TSE: NKC), announces fourth quarter and year end 2000 results (under Canadian GAAP in U.S. dollars). Revenues for the fourth quarter increased 50% over the fourth quarter 1999, to a record of $18.3 million and net income increased 567% over the fourth quarter 1999, to a record $2.0 million or $.09 per share (1999 – .3 million or $.02 per share). Cash generated (positive) from operating activities for the fourth quarter 2000 was $.3 million versus $2.1 million in cash used (negative) for the same period in 1999. For the twelve months ended December 31, 2000 cash generated from operating activities was $1.0 million versus $.2 million in cash used for the twelve months ended December 31, 1999.

For the twelve months ended December 31, 2000, the Company reported revenue of $26.0 million versus $22.5 million for the twelve months ended December 31, 1999. The Company reported a net loss of $7.7 million or $.33 per share, for the twelve months ended December 31, 2000, versus net income of $.5 million or $.03 per share for the twelve months ended December 31, 1999.

“As a direct result of setting up our own North American sales and distribution network as of July 11, 2000, we are very pleased to report two consecutive profitable quarters for the second half of 2000. To be specific, we incurred a loss of $10.6 million in the first 6 months of 2000 versus income of $2.9 million in the second half of the year”, stated Henry Kaplan, Chief Executive Officer. “We are on track towards continuing profitability, as the prior distribution issues that impacted us in the first half of 2000 are safely behind us. In addition to our North American distribution efforts, we have also seen a continued increase in royalty revenues from European business through our partner, Ubi Soft Entertainment S.A.”

The Company released nine new titles in 2000 including: Winnie the Pooh and Tigger based games for PlayStationÒ, NintendoÒ 64 and Game BoyÒ Color, Tom and Jerry for PlayStation, Nintendo 64 and Game Boy Color, Dragon Tales for PlayStation and Game Boy Color and Disney’s Doug for Game Boy Color.

Pursuant to the private placement financing closed last year, July 31, 2000, the Company is pleased to advise that it has obtained, on April 2, 2001, a receipt for a final prospectus from the securities commissions in Ontario, Alberta, British Columbia and Saskatchewan, qualifying for distribution, the securities previously issued.

The Extra-Terrestrial video game titles for multiple console and hand held platforms. Inspired by Steven Spielberg’s 1982 classic, NewKidCo’s “E.T.” titles are planned to release in three phases starting in September 2001 through the end of 2002, hitting two holiday selling seasons, in conjunction with the March 2002 theatrical re-release of the film in celebration of its 20th anniversary.

NewKidCo entered into a multi-year agreement with Universal Studios Consumer Products Group and Amblin Entertainment last year to develop and publish interactive entertainment titles timed to the beloved film’s big screen return.

NewKidCo ‘s “E.T.” products will be developed for the popular existing and next-generation console and hand-held video game platforms including PlayStation®, PlayStation® 2, Nintendo Game Cube©, Microsoft’s XBox©, Game Boy® Color, and Game Boy© Advance.

NEWKIDCO INTERNATIONAL INC. ANNOUNCES SECOND QUARTER RESULTS AND THE SUCCESSFUL COMPLETION OF ITS CORPORATE RESTRUCTURING PLAN

NEW YORK– (BUSINESS WIRE)-August 29, 2001– NewKidCo International Inc. (OTC BB: NKCIF, TSE:NKC) today announced in U.S. dollars results for its second fiscal quarter ended June 30, 2001 and the successful completion of its corporate restructuring which began in the second half of 2000.

Revenues for the three months ended June 30, 2001 were $1.8 million, unchanged from the same period a year ago. The profit before a one-time restructuring charge was $26,000 or $.001 per fully diluted share. The company reported a net loss of $8.5 million or $.30 per fully diluted share including the one-time restructuring charge of $8.5 million versus a net loss of $6.8 million or $.34 per fully diluted share for the same period one year ago. This is the fourth consecutive quarter of positive cash flow from operations and growth in net profit over the same period a year ago, excluding the one-time charge.

The one-time restructuring charge in the second quarter of 2001 includes a final write-off of the company’s Internet investment, which is not expected to generate revenue in the near term, and prepaid development and licensing costs for titles not expected to contribute significant revenue beyond December 31, 2001. These are one-time charges for the year and are not expected to reoccur.

Mr. Henry A. Kaplan, Chief Executive Officer, stated, “our quarterly and year to date results are in line with our expectations. Our improved revenue comes directly from the shipment of one new title, Disney’s Goofy’s Fun House for the PlayStation game console, which has received outstanding reception from press and consumers, and strong international business. The one-time charge reflects our view of the current conditions facing our Internet investment and a more conservative cost-matching approach to anticipated revenues for titles published on older video game platforms introduced more than one year ago.”

The company has completed its corporate restructuring, highlighted by the relocation of corporate headquarters to New York City, and the appointment of Arthur Levine as President and COO. Additionally, NewKidCo has implemented a strong North American sales force and established a successful partnership with UbiSoft for international distribution in Europe, Australia and New Zealand. The company is also in discussions with publishers in Japan to distribute its games in the Far East.

Further, during the past year, the company secured several high-profile licenses, including E.T™. – The Extra-Terrestrial from Universal Studios and Amblin Entertainment, The Muppets™ from the Jim Henson Company and Little League Baseball.

NEWKIDCO INTERNATIONAL INC. ANNOUNCES PROFITABLE THIRD QUARTER 2001

Fifth Consecutive Quarter
Of Net Profit And Positive Cash Flow

NEW YORK– (BUSINESS WIRE)-November 15, 2001– NewKidCo International Inc. (OTC BB: NKCIF, TSE:NKC) today announced in U.S. dollars results for its third fiscal quarter ended September 30, 2001. This is the fifth consecutive quarter of net profit and positive cash flow from operations.

Revenues for the three months ended September 30, 2001 were $5.1 million, down 20% from the same period a year ago. Net income was $.2 million vs. $.9 million for the three months ended September 30, 2000. Despite the somewhat reduced revenue as compared with last year, NewKidCo still returned a small profit by carefully maintaining cost controls to insure a positive bottom line.

The reduction from the same period a year ago is due primarily to lower than anticipated shipments on a new title released during the quarter. The slower sales were on an older “transition platform” that has shown signs of retail resistance during the second half of the year. This reluctance also contributed to lower than expected sales of existing library titles in the quarter.

The company took another positive step towards worldwide distribution by consummating a limited agreement with Success Corp. for Japanese distribution of (2) Tom and Jerry™ titles. NewKidCo hopes to extend this agreement to include its full range of titles, which will provide revenue growth and increased margins.

Mr. Arthur Levine, President and Chief Operating Officer, stated, “While our revenue was below expectations, I am buoyed by the reaction in the marketplace to our new titles that have shipped in the past 60 days. We expect to have full placement of all available titles for the holiday season and to finish the year on a strong note.”

The company has been releasing and will continue to release its full slate of new titles over the balance of the year, which will bring the total number of new releases for the year to nine. Included in this line-up are two Game Boy® Advance titles, one that is based on E.T™. The Extra-Terrestrial. The company will release four E.T. titles by the end of the calendar year, with at least one more expected before the theatrical re-release of the E.T. The Extra-Terrestrial movie in March of 2002.

NewKidCo’s business outlook is cautiously optimistic for the remainder of 2001 due to certain market factors including platform transition, which may impact upon year-end and fourth quarter results with respect to net revenue and net income. The outlook for 2002 is extremely positive. There are currently nine titles in development for 2002 release with another 4-8 titles in the planning stage (which could release in 2002). They are almost exclusively on next-generation systems, such as Game Boy Advance, PlayStation® 2, Nintendo GAMECUBE™ and Microsoft’s Xbox. The year’s line-up will feature new games based on E.T. The Extra-Terrestrial, Little League Baseball, Tom and Jerry and Dragon Tales™. In addition, there are multiple properties for which the company is currently in discussions that will add to NewKidCo’s already impressive catalog for the years to come.

The agreement grants NewKidCo the rights to create interactive products for all leading video game systems, allowing players to join Dora and her friends as they set off on exciting adventures, solving fun and challenging puzzles along the way. Since its premiere in 2000, Dora the Explorer has been the highest rated children’s program on all commercial television among young kids.

New York, NY (November 6, 2002) – NewKidCo International Inc. (OTC BB: NKCIF; TSE: NKC) announced today a distribution agreement with Jack of All Games, Inc. a wholly-owned subsidiary of Take- Two Interactive Software, Inc. for the territories of North and Latin America. Under this agreement all of NewKidCo’s video game product line will be distributed exclusively by Jack of All Games.

“We are excited about the excellent opportunity this provides us. Entering into this agreement Jack of All Games provides NewKidCo an opportunity to achieve a greater share of the market in children’s video games. This should improve our ability to distribute more effectively into the retail channels,” says Arthur Levine, President of NewKidCo. “We also believe that this arrangement further enhances our value as a partner to licensors of highly recognizable children’s properties.”

As the first step in this agreement, NewKidCo today announced that its first PlayStation® 2 product, Tom & Jerry War of the Whiskers, would be shipping to retailers by approximately November 15th. This release will be followed closely by Dora the Explorer Pirates Pig Treasure, for Game Boyâ Advance and
Tom and Jerry’s Infurnal Escape, for Game Boy Advance.

NewKidCo Announces 2003 Product and Organizational Plans

New York, N.Y. May 7, 2003 — NewKidCo, International (OTC BB: NKCIF; TSE:NKC) a developer and publisher of interactive entertainment software today provided an update of the company’s product release plans for the remainder of 2003.

NewKidCo has ten new titles slated for release during calendar year, 2003 which will be displayed at the E3 Expo in Los Angeles from May 14-16 by it’s distribution partner, Take Two Interactive / Jack Of all Games (South Hall Booth #724). The company has also been working on restructuring it’s balance sheet and is reviewing a range of strategic alternatives and financing opportunities. The company will have no further obligation to publicly comment on this subject unless there is a proposed transaction that is recommended by the Board. There can be no assurance that there will be any such transaction, or, that if one is recommended, it will be completed.

As part of it’s ongoing restructuring, senior management has agreed to reduce
their 2002 and 2003 cash compensation in exchange for increased equity participation..

In addition Barry Fried, Chief Financial Officer and Eric Feiner, Vice President of Sales have recently resigned their positions to pursue other opportunities. Arthur Levine and Henry Kaplan will manage their responsibilities. Overhead and operating expenses have been reduced substantially. Licensing and development agreements have also been restructured so that advances and payments are more directly related to revenues received.

The audit of 2002 financial results is being completed and will be reported at a future date.

NewKidCo Announces Operational Updates

New York, NY (October 30, 2003) – NewKidCo International, Inc. (TSX: NKC; OTC: NKCIF.PK) earlier this year released Tom & Jerry® Infurnal Escape for Game Boy&tm; Advance, which follows a series of successful Tom & Jerry® video game releases.

NewKidCo also has completed development of, and continues to develop, additional new titles. The company plans to release eight new titles between November 2003 and March 2004, through its exclusive distribution partner and co-publisher, Jack Of All Games, including:

Financial Updates
NewKidCo is currently working to complete the audit of the company’s financial statements for the year ended December 31, 2002. The company expects the audit to be completed as soon as practical and intends to file the related documents with the securities commissions in Canada and the US. Shortly following that, the company plans to publish and file quarterly results for the first three quarters of 2003. No assurance can be made that these filings will be made in a timely manner.

NewKidCo has also been working on restructuring its financial obligations and is considering a range of strategic alliances and alternatives and financing opportunities. However, no assurance can be made that a suitable financing opportunity will be found.

Equity Trading Status Update
NewKidCo recently received notice that the Toronto Stock Exchange (“TSX”) suspended trading of the company’s common shares, effective at the close of market on Friday, November 7, 2003. As indicated in a press release dated June 12, 2003, the company’s shares have not traded on the TSX since June 11, 2003 due to a cease trade order issued by the Ontario Securities Commission. (In addition, cease trade orders have been issued by the Quebec Securities Commission, the Manitoba Securities Commission, the Alberta Securities Commission and the British Columbia Securities Commission.) Based on the requirements that the TSX sets for trading, the company does not currently plan to pursue trading status on the TSX.

The company’s common stock continues to trade in the US on the OTC pink sheets under the symbol NKCIF.PK; however, based on the cease trade orders in effect by the various Canadian Securities Commissions, as well as the trading suspension on the TSX, current and potential investors in the company’s common stock should consult legal counsel before attempting to make any trades.

Management Update
On October 15, 2003, Paul Samulski, the company’s Executive Vice President and Chief Creative Officer, resigned from his position with the company. Mr. Samulski’s responsibilities have been assigned to other NewKidCo employees and consultants.
